“The Directors have, at the time of approving the financial statements, a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future. The Directors have considered the economic impact in global events in making their going concern assessment based on the current situation and the impact on the Company. As shown in the accompanying financial statements, the Group's total liabilities exceed its total assets by £91,354,169 at 31 December 2024. The Company's total liabilities exceed its total assets by £4,853,628 at 31 December 2024. However, the majority of the Group's and Company's liabilities are due to related parties, with no external debt outstanding. To support the going concern assessment, the Group obtained a signed letter from its ultimate parent confirming that no repayment of current liabilities will be demanded for at least 12 months from the date the financial statements are signed, or until the Group is financially able to do so. The directors are optimistic in the Group's financial outlook, supported by its positive EBITDA. Furthermore, management has also approved a series of investment projects aimed at enhancing competitiveness in the four- and five-star hotel market. These initiatives are expected to drive future growth and profitability through new business opportunities and cost management, with the goal of sustaining positive EBITDA and strong cash generation. Funding for these projects has been provided by the parent company, although it remains discretionary. Importantly, repayment of these funds is not expected to be demanded within 12 months of signing the accounts, in line with aforementioned support, In light of this, the Directors continue to adopt the going concern basis of accounting in preparing the financial statements. Accordingly, the financial statements do not include any adjustments that might be necessary if the Group were unable to continue as a going concern.”
