“During the year, the Company made a loss before tax of £181,000 (2023: profit of £57,000). The Company's directors have prepared forecasts for a period in excess of 12 months following the date of approval of these financial statements running to 30 September 2026. During the year and in the post Balance Sheet period, the directors are focused on the continued improvement of the operating results. In addition, a letter of support has been granted by MANN + HUMMEL GmbH (the parent company of the operating entities of MANN + HUMMEL Group), confirming continued financial support until 30 September 2026, and that the extinguishment of the intercompany balance will not be required within 12 months from the date of the approval of these financial statements. The Company remains part of the MANN + HUMMEL Group's cash pooling arrangements. Under these arrangements, the cash balance is nil with a corresponding intercompany debtor or creditor replacing the corresponding cash asset or liability. The directors have assessed MANN + HUMMEL GmbH. They consider MANN + HUMMEL GmbH to be in a good financial position and capable of issuing a support letter to the Company. As a consequence, the directors have a reasonable expectation that the Company, together with parental support, has adequate resources to continue in operational existence for the foreseeable future, which extends from the date of approval of these financial statements until 30 September 2026. Thus, they continue to adopt the going concern basis in preparing the annual financial statements.”
