“In order to assess the appropriateness of the application of the going concern principle in these financial statements, the Directors have considered the principal risks and uncertainties and financial position of both the Company and of the Stuart Turner Group (headed in the UK by Iguazu Midco 1 Limited) as a whole, reflecting how the Company is managed. Further information in respect of the directors' assessment of the Stuart Turner Group to continue as a going concern is presented within the financial statements of Iguazu Midco 1 Limited, which does not form part of this report. The Directors have considered current and forecast market conditions, and the working capital requirements of the Company. The directors are of the opinion that the Company has adequate resources to continue its operations for the foreseeable future and therefore they continue to adopt the going concern basis in preparing these financial statements.”

• “post year end on 10th January 2025 Temple Bidco Limited, Stuart Turner Limited's immediate parent entity, acquired 100% of the share capital of Elmbridge Pump Company and it's subsidiaries. Following the acquisition of Elmbridge Pump Company and its subsidiaries on 10th January 2025 the Group extended it's bank facility by £47m and updated the covenants in relation to the existing facility, the Directors have considered that the wider group position and additional funding requirements are adequately supported by both Stuart Turner trading companies and Elmbridge Pump Companies, and that their budgets, forecasts and long-term business plan appropriately support the going concern assumption.”
