“The Directors believe it is appropriate to prepare the financial statements on a going concern basis. The ongoing performance of the entity is measured by EBITDA, and although this is a loss of £1,481k, the loss has reduced since the prior year and reflects costs incurred in the reorganisation of the business. The Company is part of a Group, and as the main trading entity, has full financial support of the Group. The Group is expected to be EBITDA positive post year end and the future outlook is strong. The Directors have prepared detailed financial forecasts and projections for the next 12 months across a range of different scenarios, including sensitivity analysis to understand the Company and Group's ability to meet debts as they fall due and to maintain adherence with bank covenants. The Group's current revolving bank facilities, amounting to £30m as at 31st March 2024, had an expiry date of 31st July 2024 and this was the trigger behind the 18 month extension to 31st January 2026 (see note 26), with an option to extend to 31st July 2026 if certain criteria are met. The Directors have made an assessment of the criteria under which an extension would be granted, including the continued support of its shareholders, and believe that there is a reasonable probability that the revolving credit facility will be extended beyond its current expiry date of 31st January 2026, which allows the Group to continue to support the Company should it be required.”
