“The financial statements have been prepared on a going concern basis. In assessing the appropriateness of this basis, the Directors have considered the Company's cash flow forecasts and the continued financial support and trading relationship with its immediate parent and key customer, Cefetra Limited. The Company is wholly reliant on Cefetra Limited to continue trading, as it provides substantially all of the Company's revenue and working capital support. Cefetra Limited, in turn, is dependent on the financing from its ultimate parent company BayWa AG and is impacted by the financial situation of, BayWa AG, which is undergoing a restructuring process. BayWa AG has disclosed a material uncertainty relating to going concern in its financial statements due to the uncertainties in the restructuring plan. Based on the restructuring plan, BayWa AG entered into a Restructuring Facilities Agreement as of June 2025 with a termination date of 31 December 2028. Cefetra Limited is a guarantor in this agreement and is dependent on this financing. This means that a material uncertainty exists on the level of the Company as they are also dependent on the same uncertainties included in the restructuring plan which is the basis for the Restructuring Facilities Agreement.”
