“The financial statements have been prepared on a going concern basis. The Directors have considered the Company's cash flow forecasts and the continued financial support and trading relationship with its immediate parent and key customer, Cefetra Limited. The Company is wholly reliant on Cefetra Limited to continue trading, as it provides substantially all of the Company's revenue and working capital support. Cefetra Limited, in turn, is dependent on the financing from its ultimate parent company BayWa AG and is impacted by the financial situation of, BayWa AG, which is undergoing a restructuring process. BayWa AG has disclosed a material uncertainty relating to going concern in its financial statements due to the uncertainties in the restructuring plan. Based on the restructuring plan, BayWa AG entered into a Restructuring Facilities Agreement as of June 2025 with a termination date of 31 December 2028. Cefetra Limited is a guarantor in this agreement and is dependent on this financing. This means that a material uncertainty exists on the level of the Company as they are also dependent on the same uncertainties included in the restructuring plan which is the basis for the Restructuring Facilities Agreement. The conditions above indicate the existence of a material uncertainty for immediate parent entity Cefetra Limited and given the reliance on Cefetra Limited and the material uncertainty disclosed by both Cefetra Limited and the ultimate parent, BayWa AG, there exists a material uncertainty that may cast significant doubt on the Company's ability to continue as a going concern and, therefore, that it may be unable to realize its assets and discharge its liabilities in the normal course of business.”

• “As part of the sale of the non-core companies, BayWa AG reached agreement on the sale of its subsidiary Cefetra Group B.V., including its subsidiaries (Cefetra UK Limited and subsidiaries), to First Dutch (PGFO B.V.) in June 2025. A change in ownership of PGFO B.V. occurred in October 2025. The transaction is expected to be completed by the end of the 2025 financial year, subject to customary closing conditions and due diligence concerning the new owners of PGFO B.V.”
