“After reviewing the Company's performance, and the impacts of the refinancing transaction post year end where the first optional redemption date ("FORD") has been extended to April 2027, the directors are satisfied that the Company has adequate access to resources to enable it to meet its obligations and to continue in operational existence for at least 12 months from the date that the directors approve the financial statements. For this reason, the directors have adopted the going concern basis in preparing the financial statements.”

- “On 19 March 2025, the Company completed a refinancing transaction. As part of this process, it sold outstanding Loans totalling £63,126,334 to the Seller. The proceeds from the sale were used to redeem the existing Notes and Certificates. On the same day, the Company repurchased the sold Loans and acquired additional Loans amounting to £72,029,485 from the Seller (who had acquired the Loans from Tudor Rose Mortgages 2021-1 Plc) and issued new Notes and Certificates as detailed in Note 20. Following this refinancing, the FORD was extended to April 2027.”
