“At 31 March 2025, the Company had net liabilities of £253k (2024: net assets of £14k) The Company is developing renewable energy projects in the UK with the development being funded by the Cero Group (Cero Generation Limited and its subsidiaries). The Company is reliant on funding from Green Investment Group Investments Limited ("GIGIL") through the Cero Group which partially owns and funds this Company. The Directors expect this funding to continue and have adopted the going concern basis of accounting in preparing the Company's financial statements. However there is no formal commitment from the Cero Group and should this not be forthcoming an alternative source of funding would be required, which is not guaranteed. In addition, as there is a reasonable possibility that the Cero Group will be sold in the next twelve months, it is not possible for the Directors to predict the intentions of any new owner with regards to the plans, strategy and funding of the Company. As a result of these matters, there exists a material uncertainty that may cast significant doubt about the Company's ability to continue as a going concern. The financial statements do not include the adjustments that would result if the Company were unable to continue as a going concern.”
