“Company law requires the directors to consider the appropriateness of the going concern basis when preparing the financial statements. For the foreseeable future the company will be solvent due to a new funding agreements with one of the parent companies of the joint venture; Blackmead Infrastructure Limited. The total loan facility has a principal amount of £15,000,000. The interest rate on this loan is 16%. Repayment is due in August 2029 or at time when any excess cash is available for the purpose of a distribution pursuant to clause 10 of the Joint Venture Agreement dated 4th March 2020. This funding will be available and sufficient to take the company to income generation. The directors therefore consider the going concern basis to be appropriate.”
