• “On 14 July 2025, the Company completed a reduction of its share premium account by £3,300,000 via the solvency statement procedure under section 641(1)(a) of the Companies Act 2006. The amount of the reduction was credited to the profit and loss account as distributable reserves.”
• “On 31 July 2025, the Company entered into an agreement to purchase the entire shareholding of a director (38,554 ordinary shares of £1 each) in two tranches: Tranche 1: 21,286 shares were purchased on 31 July 2025 for total consideration of £1,000,016. These shares are held in treasury. Tranche 2: The Company has committed to purchase the remaining 17,268 shares on 1 April 2027 for consideration of £811,251, subject to have sufficient distributable profits at that date. If the purchase cannot be completed due to insufficient distributable profits, the commitment will lapse on 1 April 2028. The purchase was funded from distributable reserves created by the capital reduction and a loan facility entered into for this purpose. The director resigned on 1 August 2025 following completion of Tranche 1.”
