“The financial statements have been prepared on a going concern basis which the directors consider to be appropriate for the following reasons: As disclosed in note 2.2 to the financial statements, the trade and assets of the Company were transferred to its intermediate parent (GXO Logistics UK Limited) on 1 July 2025. The transfer was not considered to impact the operations of the transferred business. As a result of the transfer, the Company ceased to trade. The directors have considered that in light of the Company's status as a non-trading company within the GXO Logistics, Inc. group and taking into account possible downside scenarios; the Company will have sufficient funds to continue as a going concern for at least twelve months following the signing of the Company's financial statements. The availability of sufficient funds is dependent on the Company's intermediate parent, International Venture Holdings Limited, providing additional financial support during that period. The intermediate parent company has confirmed that it will continue to support the Company for at least twelve months following the signing of the Company's financial statements. The directors have assessed the ability of International Venture Holdings Limited to support the Company and concluded that the intermediate parent company has the ability to support. This is itself dependent on the ultimate parent undertaking, GXO Logistics, Inc. providing additional financial support to International Venture Holdings during that period. GXO Logistics, Inc. has confirmed it will continue to support International Venture Holdings Limited to enable the Company to meet its current and future obligations as they fall due for the period covered by GXO Logistics FST Limited's going concern assessment period. As with any company placing reliance on other group entities for financial support, the directors acknowledge that there can be no certainty that this support will continue although at the date of approval of these financial statements they have no reason to believe that it will not do so. Consequently, the directors are confident that the Company will have sufficient funds to continue to meet its liabilities as they fall due for the twelve months following the signing of the Company's financial statements and therefore have prepared the financial statements on a going concern basis.”

We have continued to assess how the current military conflicts and their consequential economic effects may impact the Company, and based on this assessment we have not identified any specific condition that could significantly impact the financial position, financial performance or cash flows of the Company in 2025.”
