  Material uncertainty over going concern

  The Directors have reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future, hence they continue to adopt the going concern basis in preparing the annual Financial Statements. The Company is dependent on the Group to provide continued financial support. The Group has formally indicated it will provide continuing financial support to the Company for at least twelve months from the date of approval of these Financial Statements. However, the ability of the Group to provide such support is dependent, in part, on its own funding. When considering a severe but plausible downside scenario, there is a material uncertainty which may cast significant doubt about the Company's ability to continue as a going concern given the current regulatory capital requirements as the Company has reported a Group Capital Test ("GCT") deficit in certain parent entities, including the immediate parent entity, for over 12 months.

• “The Group entered into a Senior Facilities Agreement ("SFA") with five banks on 29 April 2025. The new facilities comprise: a €175 million term facility (EUR) and two multicurrency revolving credit facilities: revolving facility A (€90 million) and revolving facility B (€85 million). The closing date under the agreement was 7 May 2025.”
