“The company exists to hold an investment in Building Schools for the Future Investments LLP ("the partnership") which itself holds investments in underlying projects that provide services under certain private finance agreements. Amber Infrastructure Limited ("Amber"), the Partnership's management service provider, manages a number of these underlying projects ("Investment Portfolio"). The company's ability to meet its debts as they fall due is dependent on the performance of the Partnership's interest in the Investment Portfolio. The directors have reviewed cash flow forecasts prepared by management. Based on those forecasts, consideration of the company's operating costs and obligations as well as capital commitments, and an assessment of the group's liquidity and committed banking facilities, it has been considered appropriate to prepare these financial statements of the company on a going concern basis. The company continues to fully cover operating costs and distributions from underlying cash flows from investments.”
