“The financial statements at 31 January 2025 show that the group generated profit for the year of £4,942,062 (31 January 2024: profit of £576,904). The balance sheet showed cash reserves at 31 January 2025 of £3,475,006 (2024: £1,195,455) and a net asset/(liability) position of £4,140,314 (2024: (£796,474)). These results, and the nature of Group's organizational structure indicate the Group, and Company, is dependent on support from the Ultimate Group undertaking in order to continue as a going concern. Since its inception Raptor Parent, LLC and Subsidiaries ("the Ultimate Group") has been able to attract sufficient investment to advance its growth strategy and to support the Group settle obligations as they fall due. This is further evidenced by the Ultimate Group's recent successful fund raise in March 2025. Digital Shadows Inc, the immediate parent company of ReliaQuest UK Limited, is a wholly owned subsidiary of ReliaQuest, LLC, another member of the Ultimate Group. ReliaQuest, LLC will provide additional cash to support ReliaQuest UK Limited, and its subsidiaries, to continue as a going concern for the foreseeable future, as required. Confirmation has been obtained from ReliaQuest, LLC of their intention to continue their support for the Group, for the foreseeable future. In addition, subsequent to the year end, the intercompany agreements with ReliaQuest, LLC have been modified such that they cannot be unilaterally recalled by ReliaQuest, LLC within 12 months. Consequently, the Directors, who are also members of executive leadership of ReliaQuest, LLC, have reasonable expectations that the Ultimate Group has adequate resources to continue in operational existence in the foreseeable future and provide the necessary support to the Group. Accordingly, the Directors continue to adopt the going-concern basis in preparing these financial statements.”
