• “The Company purchased 100% of the share capital of Comac Freight Services Ltd on 5 April 2023 for total consideration of £1,657,764. During the year, on 1 January 2024, the assets and trade of Comac Freight Services Ltd were hived up to the Company. Upon the hive up, the goodwill element of the original purchase price, being £952,614, was reclassified from fixed asset investments (see Note 14) to goodwill (see Note 12). Following the hive up, the remaining cost of the Company's investment in Comac Freight Services Ltd of £705,150 was impaired to £Nil, with the impairment presented in the current year's financial statements as an exceptional item. On 18 October 2024, the Company purchased 100% of the share capital of ICT Express Limited, for total consideration of £1.”
