“The Directors have prepared base case forecasts extending for a period of 18 months from the end of the current financial period, which include cash flow forecasts, profit and loss accounts, and balance sheets. The base case forecasts suggest continued profitability and sufficient cash availability. The Directors have applied stress testing to these base case forecasts by applying volume and margin reductions. These sensitised forecasts indicate that the Group and Company will continue to be profitable and have adequate cash availability. The Group's core UK facilities provided by HSBC UK Bank Plc, were renewed for a 5 year period in March 2024. The facilities include a £25m Rolling Credit Facility and asset-based facilities of £70m. These facilities are secured until March 2029. The Group's base and sensitised forecasts demonstrate that the Group is able to operate within these facilities. Consequently, the Directors are confident that the Group and Company will have sufficient funds to continue to meet its liabilities as they fall due for at least 12 months from the date of approval of the financial statements and therefore have prepared the financial statements on a going concern basis.”

- “On 1 October 2025, the Group entered into an agreement to acquire Duggan Steel (Irl) Limited, a steel stockholding business operating in the Republic of Ireland across two locations. The acquisition was completed subsequent to the reporting date and is considered a non-adjusting event under FRS 102 Section 32. The transaction is expected to enhance the entity's strategic position in the Republic of Ireland, and is complementary to the Group's existing depot network which is based across the United Kingdom and Northern Ireland. The transaction will be accounted for in the next financial period. The consideration paid was £11,988,000, funded through internal cash reserves and existing debt facilities.”
