“In making their going concern assessment the directors considered the financial position of the company at period end, in particular a net current liability position of £68,812 and a decline in the net asset position to £29,901. Post year end results to date and budgeted forecasts were also considered. Skylander Holdings Limited, which had signed an agreement post year end on 24 January 2025 to purchase the entire shareholding of Buttle's Plc in tranches by 1 July 2026, has confirmed they will support the company for a period of no less than 12 months from the date of signing these financial statements from the point majority share ownership in Buttle's Pic has been transferred to it which is expected to be on on before 1 July 2025 or when all payments due on or before 1 July 2025 has been made, whichever is later. In addition, a loan facility agreement of up to £800,000 was signed on 24 January 2025 with one of the company's shareholders which is repayable more than 12 months from the date of signing the accounts. As such, the directors consider it appropriate to prepare the financial statements on a going concern basis.”
