“The company has net current assets of £31,471,000 (2023: £17,296,000) at the year end and is dependent on the ongoing financial support of its ultimate parent undertaking, Becton, Dickinson and Company, who has confirmed to the directors of the company that this support will continue until 30 June 2026, in order to enable the company to fulfil its financial commitments as and when liabilities fall due. Accordingly, the directors have prepared these financial statements on a going concern basis.”

- “The Virgin Media Ltd v NTL Pension Trustees II decision, handed down by the High Court on 16 June 2023, considered the implications of section 37 of the Pension Schemes Act 1993 ("s.37"), and the requirements of s.37 in respect of pension schemes that were formerly contracted-out on a "reference scheme test" basis. The judgement clarifies that where an amendment was made which affected section 9(2B) rights without the necessary section 37 confirmation having been obtained, that amendment would be void. A subsequent appeal against this decision was dismissed by the Court of Appeal on 25 July 2024. The case is relevant to the defined benefit pension scheme operated by the Company as it was contracted-out on that basis during the period 7 April 1997 - 5 April 2016 and so the requirements under s.37 that were discussed in the judgement applied to amendments made to the Scheme's governing rules made during that period. Following the Court of Appeal's decision, the Company, in consultation with the scheme's trustees, instructed the scheme lawyers to undertake a review of all relevant amendments made to the scheme for the period under review. The lawyers noted 8 amendments during this period and although no section 37 confirmations were apparent from initial investigations in 5 of these cases, they do not feel that any of the changes were likely to impact on reference scheme test benefits. While the directors are satisfied with the legal review that has taken place, it is important to note that this advice is based on preliminary investigations. As such, the advice may need to be updated at a later date. At present, it is not possible to estimate the potential impact, if any on the Scheme.”
- “On 13 March 2025, the Prime Minister announced that National Health Service England (NHSE) is being abolished and reintegrated into the Department of Health and Social Care (DHSC). The directors do not believe that these changes pose a direct adverse risk to the company. At a strategic level, decision making for policy and strategy will sit almost entirely with the DHSC. Following this announcement and at this early stage, a reasonable estimate of any potential financial impact on the company cannot be made by the directors.”
