“The Company has continued to evaluate and mitigate against known global events. Some examples have rolled over from previous years, such as the continued War in Ukraine and metal market disruptions, energy costs and underlying operating cost increases but 2025 has raised new challenges in the form of tariffs imposed on exports to USA. The Company's asset-based lending facility, increased in April 2024, runs for a minimum of three years to April 2027, where it then moves onto a three-month rolling basis. The increase and renewal terms are deemed to still be sufficient for the business forecasts and strategy, and is expected to be appropriate to meet both Paralloy requirements and its post year-end balance sheet events. In assessing going concern, the Directors have prepared and reviewed sales, EBITDA and cash flow forecasts up to and including March 2027 and considered compliance against the covenants included in the debt facilities. The Directors have considered the orderbook, impact of increased costs, tariffs and energy, and they have considered a level of reasonable downside sensitivities in trading and cash, and are satisfied that there are no foreseen circumstances where the Company would be in breach of its debt covenants or would not be able to meet its liabilities as they fall due. Accordingly, they continue to adopt the going concern basis in preparing the financial statements.”

- “An intragroup dividend of £12.9m has been approved in November 2025 from Paralloy Ltd to Paralloy Group Ltd, and subsequently from Paralloy Group Ltd to Paralloy Group Holdings Ltd, to enable Paralloy Group Holdings Ltd to repay the £12.9m intercompany loan from Paralloy Ltd, which was initiated in April 2024. The loan was originally agreed to enable the share repurchase from Nimbus as all borrowing facilities are within the Paralloy Ltd entity. As the dividends and loan settlement are internal, no cash has left the Group.”
